第一个大问题是

市场混淆行为的含义
the meaning of market confusion act

与界定
and the definition of

市场混淆行为
market confusion act

又称为虚假标识行为
also known as the false identification act

也称为欺骗性交易行为
or fraudulent trading act

或者仿冒行为
or the counterfeiting act

它是指

经营者
operators

不正当地利用
improperly use

他人的商誉
others’ business reputation

或者通过虚假的
or through false

质量标示
quality marking to make

使交易相对人产生混淆
parties involved in a transaction confusing

或误信
or misbelieve

从而获得交易机会的行为

在生产经营的活动当中
in the course of production and operation

经营者应当通过自身的努力
operators should work through their own efforts

提高自己商品
to improve the quality of goods

或者服务的质量

从而提高自身的市场竞争力
thus improve their own market competitiveness

但是在实践当中
but in practice

有的经营者
some operators

却不愿意通过
don't want to improve market competitiveness

自身的努力来提高市场竞争力
through their own efforts

而是通过
but through

试图通过
or attempt to profit by other people’s toil

搭便车
through hitchhiking

傍名牌的方式不劳而获
or borrow the famous brand

通过仿冒他人主体标识
by copying the subject mark of another person

他人商品标识等方式
commodity mark of other person etc.

引人将
to make people mistake

自己的商品
one's own commodity

误认为是他人商品
for others’ commodity

或者与他人存在特定的关联
or have a specific connection with another person

那么

以借用他人
to borrow from

他人商品的影响力
influence of other people's commodity

来提高自己
to improve oneself or

或自己商品的市场竞争力
market competitiveness of one's own commodity

这种行为不仅损害了
this kind of act not only damages

被混淆对象的合法权益
the legitimate rights and interests of the confused object

欺骗误导了消费者
deceives and misleads consumers

而且扰乱了市场竞争秩序
but also disturbs the order of market competition

应当予以规制
which should be regulated

那么关于市场混淆行为的法律界定是

下列混淆行为

误认为是

他人商品
other people's commodity

或者与他人存在特定的联系

那么也就是说下面这几种情形

那么姓名还包括

笔名
pen name

艺名
stage name

和译名
translated name

这里边艺名
here's the stage name

有两种表达方式啊
has two kinds of expressions

需要同学们注意

那么第三种是

擅自使用他人有一定影响的

域名主体部分
the main part of domain name

网站名称
website name

网页等
web pages, etc.

那么第四种是
then the fourth one is

其他足以引人误认为是

他人商品
as other people's commodity

或者与他人存在特定联系的混淆行为
or have specific connection with others

那么这第四种也是一个兜底条款
and the fourth kind is also a bottom-line clause

那么第二个大问题是

市场混淆行为的构成要件
constitutive requirements of market confusion act

我们先来看第一个构成要件
let's first look at the first constituent requirement

主体要件
the subject requirement

实施混淆行为的主体是经营者
the subject to carry out the confusion act is the operator

那么这里面经营者包括
then the operator in this includes

从事商品生产经营
natural persons, legal persons and unincorporated organizations

或者提高服务的自然人法人和非法人组织
engaged in the commodity production and operation

那么第二个要件是
so the second requirement is

客体要件
the object requirement

被混淆的对象是
the object of confusion is

具有一定影响的商业标识
the commercial mark with some influence

主要包括
mainly including

三大类
three categories

第一类是
the first category is

商品标识
commodity mark


i. e.

他人有一定影响的
others have a certain influence on

商品名称
the commodity name

包装
packaging

装潢等标识
decoration and other marks

其中既包括使用与他人标识完全相同的标识
these include the use of the same mark as others

也包括使用与他人标识近似的标识
and the use of similar mark

那么既包括商品标识
so that includes both commodity marks

也包括服务标识
and the service mark

第二类是主体标识
the second category is the subject mark

它包括企业名称
it includes the enterprise name

企业名称的简称字号等
the abbreviation of the enterprise name

社会组织的名称
the social organization name

包括社会组织的简称
and the abbreviation for social organization

然后是自然人的姓名
then the name of the natural person

包括笔名
including pen name

和艺名等
and stage name

第三类是
the third category is

网络活动中的特殊标识
the special mark in the network activity

它包括
it includes

他人有一定影响的
others have a certain influence on

域名主体部分
the main part of domain name

网站名称
website name

网页等
web pages

下面是行为要件
then the act requirements

那么从事市场混淆的
so the way to engage in market confusion

方式是擅自使用
is the unauthorized use

它主要是指
it mainly refers to

未经权利人的同意而进行了使用
the use without the consent of the obligee

那么如果是经过权利人的同意后而使用的话
then if it is used after the consent of the obligee

则不构成混淆行为
it does not constitute an act of confusion

例如
for example

通过签订协议的方式
by way of the signing of the agreement

取得了商业标识的使用权
to obtain the right to use the commercial mark

那么这种情况下
then in this case

就不构成混淆行为
it does not constitute an act of confusion

那么下面是

效果要件
the effect requirement

混淆的效果或者说结果是
the confusion effect or result is to

引人误认为是他人商品
cause people to be mistaken for others’ commodity

或者与他人存在特定的联系
or to have a specific connection with another person

所以混淆的结果
so the result of confusion

一般包括两种
are generally in two types

那么一是商品来源混淆
one is the confusion of the source of commodity

它是指
it refers to

将经营者的商品
mistaking commodities of the operator

误认为是他人的商品
for those of others

那么二是
so, the second is

特定关联的混淆
confusion of specific connection

误认为该经营者
it is mistaken for the operator

或其商品
or its commodities with

与被混淆的对象
objects of the confusion to have

存在着
specific relations such as

商业联合
commercial association

许可使用
permissible use

广告代言等特定的关联
advertising endorsement

第三个大问题是
the third big issue is

市场混淆行为的法律责任
legal liability for market confusion act

首先是民事责任
the first is civil liability

那么经营者实施市场混淆行为
if it is difficult to determine the actual losses

权利人因被侵权所受到的实际损失
suffered by the obligee or the interests gained by

侵权人因侵权所获得的利益难以确定的
the infringer as a result of the infringement

由人民法院
the people's court shall

根据侵权行为的情节
according to the circumstances of the infringement

判决给予权利人
award the right-holder

五百万元以下的赔偿
a compensation of less than 5 million yuan

那么接下来是行政责任
then comes the administrative liability

经营者实施市场混淆行为的
operators engaged in market confusion act

由监督管理部门
shall be ordered to stop the illegal act

责令停止违法行为
confiscated illegal commodity

没收违法的商品
by the supervision and inspection department

违法经营额
illegal operations in more than

在五万元以上的
fifty thousand yuan

可以并处违法经营额
can be concurrently fined not more than

五倍以下的罚款
five times the illegal operations

没有违法经营额
and no illegal operations

或者违法经营额不足五万元的
or less than fifty thousand yuan of illegal operations may

可以并处二十五万元以下的罚款
concurrently be fined two hundred and fifty thousand yuan

那么情节严重的
if the circumstances are serious

吊销营业执照
business license shall be revoked

经营者登记的企业名称
where an enterprise name registered by the operator

违反了反不正当竞争法
violates the provisions of article 6 of

第六条规定的
the anti-unfair competition law

应当及时办理名称变更登记
it shall go through the registration of name change

那么在变更前
in a timely manner and before the change

由原企业登记机关
the original enterprise registration authority shall

以统一社会信用代码代替其名称
replace its name with a unified social credit code
