Memorandum of Technology Transfer

of Medical Device Products between

ABC Medical Device Import of China and IDC Company of British

The representatives of ABC Medical Device Import of China (herein after called Party A) and IDC Company of British (herein after called Party B) had a tentative discussion on Technology Transfer of Medical Device Products on the date of July 19,2019 at Party A's Head Office in Shanghai, China. The two Parties have exchanged their ideas and made promises.

For facilitating the further negotiation, we write a memorandum as follows:

i.      Medical Device Products Technology Transfer

Both Parties are clear about the intent of medical device product technology transfer. They consider that through the technology transfer they may produce the most competitive

products in the world. If the discussion between two parties is a success, they may sign a contract and compile a feasibility report. Both parties agree that they may speed up the transfer if they make great efforts together.

ii.     Intent of Party B's Technology Transfer

After Party B’s field visit to Party A in July 21, 2019, Board of Directors of Party B has the right to make decision about the matter of Medical Device Products Technology Transfer with Party A.

iii.    Intent of Party A's Technology Import

Party A decides to import advanced technology from abroad. Besides Party B, some other foreign companies are intending to corporate with Party A. But Party A will choose Party B as their first choice. Party A hopes that the two parties will make quick progress in cooperation.

iv.    Review of the Agreement

This agreement will be reviewed weekly. The contact person for each party is to arrange the review meetings to discuss the implementation and progress of the project. And any difficulties either party is experiencing either in the project itself or in the parties’ interactions. Any other matters the parties wish to discuss with each other

v.     Confidentiality

Neither of the parties is to disclose, directly or indirectly, any confidential information received from the other party to any third party without written consent.

vi.    Intellectual Property and Data Sharing

All intellectual property brought by each party to the relationship under this Memorandum remains in the ownership of that party.

vii.   Dispute resolution

Any dispute concerning the subject matter of this document is to be settled by full and frank discussion and negotiation between the parties.
